17. Termination
The Company may, in its sole discretion and without prior notice, suspend or terminate your access to the Service, terminate your account, or remove any content:

18. Modifications to the Service and Terms
The Company may modify, suspend, or discontinue the Service, in whole or in part, at any time, with or without notice. The Company will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
The Company may modify these Terms at any time by posting the revised Terms on the Service or by notifying you through the Service or by email. Material changes will be communicated with at least thirty (30) days’ advance notice where commercially practicable. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of them. If you do not agree to the revised Terms, you must stop using the Service.
19. Privacy
Your privacy is important to the Company. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. California residents have specific rights under the California Consumer Privacy Act (as amended by the CPRA); these rights are described in the Privacy Policy.
20. Governing Law
These Terms and any dispute arising out of or relating to these Terms or the Service are governed by the laws of the State of California, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
21. Dispute Resolution; Arbitration; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
(a) Informal Resolution. Before filing any arbitration or lawsuit, the parties will attempt to resolve any dispute informally. The complaining party will provide written notice of the dispute to the other party describing the nature and basis of the claim and the relief sought, and the parties will negotiate in good faith for at least thirty (30) days before initiating any formal proceeding.
(b) Binding Arbitration. Except as provided in Section 21(d) below, any dispute arising out of or relating to these Terms or the Service will be resolved exclusively through binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration will be conducted in Santa Clara County, California, or by telephone or videoconference at the arbitrator’s discretion. The arbitrator’s decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
(c) Class Action Waiver. YOU AND THE COMPANY AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN CLAIMS OF MULTIPLE PARTIES AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING. IF THIS CLASS ACTION WAIVER IS FOUND UNENFORCEABLE, THEN THE ENTIRETY OF THIS SECTION 21 WILL BE NULL AND VOID.
(d) Exceptions. Notwithstanding the above, either party may (i) bring an individual action in small claims court, or (ii) seek injunctive or equitable relief in a court of competent jurisdiction to prevent the unauthorized use or infringement of intellectual property rights or breach of confidentiality obligations.
(e) Venue for Non-Arbitrable Claims. For any claim that is not subject to arbitration under this Section, the parties submit to the exclusive jurisdiction and venue of the state and federal courts located in Santa Clara County, California, and waive any objection to venue or personal jurisdiction in such courts.
(f) Opt-Out. You may opt out of the arbitration agreement in this Section 21 by sending written notice to legal@aiportfolioanalyst.com within thirty (30) days of first accepting these Terms. Your notice must include your full name, email address associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out of arbitration does not affect any other provision of these Terms.
(g) Survival. This Section 21 survives any termination of these Terms or your account.
22. Force Majeure
The Company will not be liable for any failure or delay in performance under these Terms caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, civil unrest, internet or telecommunications outages, cyberattacks, third-party service provider failures, pandemics, epidemics, or governmental actions.
23. Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder, by operation of law or otherwise, without the Company’s prior written consent. Any attempted assignment in violation of this Section is void. The Company may assign these Terms without restriction, including in connection with a merger, acquisition, sale of assets, financing, or reorganization. These Terms bind and inure to the benefit of the parties’ permitted successors and assigns.
24. Severability
If any provision of these Terms is held by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable while preserving the parties’ intent.
25. Waiver
The Company’s failure to enforce any provision of these Terms is not a waiver of its right to enforce that provision or any other provision in the future. Any waiver of any provision of these Terms must be in writing and signed by an authorized representative of the Company to be effective.
26. Entire Agreement
These Terms, together with the Privacy Policy and any order form, subscription agreement, or written professional-user agreement between you and the Company, constitute the entire agreement between you and the Company regarding the Service and supersede all prior and contemporaneous agreements, proposals, understandings, and representations, whether oral or written. In the event of a conflict between these Terms and a separate written agreement signed by an authorized representative of the Company, the separate written agreement will control with respect to the subject matter it addresses.
27. Survival
The following provisions survive termination of these Terms: Sections 7 (Professional Users), 8 (No Investment Advice), 9 (Regulatory Compliance), 10 (Intellectual Property), 11 (User Data, with respect to any continuing licenses and obligations), 12 (Feedback), 14 (Disclaimer of Warranties), 15 (Limitation of Liability), 16 (Indemnification), 20 (Governing Law), 21 (Dispute Resolution), 23 (Assignment), 24 (Severability), 25 (Waiver), 26 (Entire Agreement), this Section 27, and 28 (Notices), and any other provisions that by their nature are intended to survive.

30. Headings and Interpretation
The headings in these Terms are for convenience only and do not affect the interpretation of these Terms.
